1. Timing

The Bluevine Small Business Resilience Program (the “Promotion”) begins on November 27, 2021 at 12:00 a.m. Pacific Time (PT) and ends on December 31, 2021 at 11:59 p.m PT (the “Promotion Period”).  Bluevine (the “Sponsor) will be the official timekeeper for the Promotion. 

2. Eligibility 

The Promotion is open only to small businesses (the “Participant”) that submit a complete application and meet the following criteria:

  • The individual submitting the application is at least 18 years, or the legal age of majority in their state of residence, at the time of entry, is a legal resident of the fifty (50) United States and the District of Columbia, and is the owner/operator and/or authorized agent of an eligible for-profit small business.
  • The small business is validly organized under the laws of the applicable state, has been in operation since at least January 1, 2020 and in operation throughout the pandemic, is currently operating and in good standing, and has at least two (2) employees and a maximum of two hundred fifty (250) employees. 

Employees, officers or directors of Sponsor and any affiliates, as well as the immediate family members (defined as parents, spouse, children, siblings and grandparents) and those living in the same household of each such employee, officer and director, and businesses owned by these individuals are not eligible. Void where prohibited or restricted.

By submitting an entry, Participant understands that they are voluntarily providing information to Sponsor and certifies that they meet the eligibility criteria.  Participant agrees to abide by these Official Rules and by the decisions of Sponsor.  Sponsor shall determine, in its sole discretion, whether an entry meets the eligibility criteria.  These Official Rules and Sponsor’s decisions regarding eligibility and all other aspects of the Promotion are final and binding in all respects.

3. Judging Criteria

Qualifying entries received during the Promotion Period will be judged to determine the winner and finalists.  Judging will be based on Participant’s answers to the following questions:  

  • Leadership (400 words max): Articulate and provide examples of how you showed exceptional leadership. For example, did you go above and beyond for your staff and customers? Did you inspire your staff during a time of uncertainty? Did you communicate updates regarding shutdowns, COVID restrictions, or layoffs calmly and clearly? 
  • Innovation (400 words max): Did your business find new and exciting ways to stay connected with staff or customers during the pandemic? Did your business’ leadership implement new and original ideas to stay connected? Share examples or anecdotes to help our judges understand the impact of the innovation. 
  • Grit (400 words max): In the face of so many obstacles, how did you prevail? What are some examples of perseverance that demonstrate your grit?

The panel of judges consists of Eyal Lifshitz, CEO & Co-Founder of Bluevine, and Zack Miller, Founder and Managing Editor of Tearsheet.

4. Award

One winner will be selected to receive the $10,000 award (the “Award”).  Other selected finalists will be recognized on Sponsor’s blog and social media, but will not receive compensation. 

The Award recipient is responsible for all federal, state and local taxes and any other taxes associated with Award, acceptance and/or use of the Award excluding taxes included in the cost of the Award.  No refunds or credit for changes are allowed.  Awards are non-transferable, and no substitution is allowed, except in Sponsor’s sole discretion. Sponsor reserves the right to substitute an item or items of the same approximate retail value. The Award recipient will be required to complete a W9 form in order to be issued a 1099-MISC tax form for the actual value of his/her Award. Sponsor will not replace any lost, mutilated or stolen Awards or Award elements or any Award elements that are undeliverable or do not reach the winner because of an incorrect or changed contact information.

Award will be mailed only to the verified winner’s small business address unless Sponsor, in its sole discretion, agrees otherwise. If Sponsor determines at any time in its sole discretion that a winner or potential winner is ineligible or in violation of these Official Rules, Sponsor reserves the right in its sole discretion to disqualify that Participant, even if he or she has been notified or announced as a winner.  Award conditions may be added or modified by Sponsor, in its sole discretion.

5. How to Enter

To enter, Participant must submit a complete application at during the Promotion  Period.  Late or incomplete applications will not be eligible for consideration.  Limit one entry per business.  All entries are subject to approval by the Sponsor, in Sponsor’s sole discretion.

Except where prohibited, entry in the Promotion constitutes Participant’s consent to the publication and/or use of her/his/its name,  organizational information, application materials, including submission responses in any media for any commercial or promotional purpose (including, without limitation, the Internet), without further compensation.

By entering the Promotion and providing an email address, each Participant grants Sponsor express permission to send Participant emails related to the Promotion, including, but not limited to, notification of Finalists, the winner and a follow-up email in order to gather feedback regarding the Promotion to be used in the planning and design of future Promotions.

Finalist and Winner Notification

The winner and finalists will be notified on or by February 15, 2022, and will be publicly announced no later than February 28, 2022. The winner and/or finalists will be notified by email or phone call prior to the public announcement.  If the winner and finalist cannot be contacted or does not respond within 72 hours of notification, an alternative winner and/or finalist will be selected from the remaining eligible entries.  Any notification and/or issuance of the Award returned as undeliverable may be forfeited and awarded to an alternative winner and/or finalist.

The winner and finalists may not communicate their status in any manner until after Sponsor makes a public announcement.  

7. Disqualification

Sponsor may prohibit a Participant from participating in the Promotion if, in its sole discretion, it determines that Participant is attempting to undermine the legitimate operation of the Promotion by cheating, hacking, deception or other unfair practices or intending to annoy, abuse, threaten or harass any other Participants or Sponsor or its agents. Limit one entry per business. Automated and/or repetitive submissions of Entries will be disqualified.  

8. General Release and Limitation of Liability

By entering the Promotion, Participant warrants they have read and understand these Official Rules and agree to be bound by them and to release, discharge and hold harmless Sponsor and its affiliates, and all of their respective officers, directors, employees and agents, partners, and designees (collectively “Released Parties”) from any and all liability, claims, judgments, losses, injuries, demands, damages, actions and/or causes of actions, whether direct or indirect, which may be due to or arise out of participation in the Promotion.

Sponsor is not responsible for any incorrect or inaccurate information, late, lost, incomplete, corrupted, misdirected entries, or for computer or computer network errors at any point, whether caused by technical or human error or otherwise which may occur in the processing of entries in this Promotion or in the running of this Promotion. Sponsor will not be responsible for typographical, printing or other errors in these Official Rules or in other materials relating to the Promotion.

If for any reason, the Promotion is not capable of running as planned, including but not limited to by reason of fraud, computer virus, worms, bugs, tampering, unauthorized intervention, technical limitations or failures, human error, mistake or any other cause that in the sole opinion of Sponsor could compromise, undermine, corrupt or otherwise affect the security, integrity, fairness, administration, or proper conduct of this Promotion, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion at any time and without notice.

Notwithstanding anything set forth above, to the extent that the preceding release is determined by a tribunal of competent jurisdiction to be invalid, unenforceable or void for any reason, Participant agrees that, to the fullest extent permitted by law (i) any and all disputes, claims, and causes of action arising out of or in connection with the Promotion, or any awards awarded shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred by such Participant, but in no event attorney’s fees and no greater than $1,000; and (iii) under no circumstances will any Participant be permitted to obtain any award for, and Participant hereby waives all rights to claim, incidental, punitive or consequential damages.

9. Additional Terms

The construction, validity, interpretation and enforceability of these Official Rules, and all issues and questions relating thereto, along with the rights and obligations of Participant and of Sponsor, shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions. In the event that any provision is determined to be invalid or otherwise unenforceable, such determination shall not affect the validity or enforceability of any other provision, and these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

Any specific waiver of any obligation hereunder by Sponsor does not constitute a general waiver of that obligation nor of any other obligation of Participant.

Any dispute concerning this Promotion shall be submitted to binding arbitration in California within one (1) year from the date that the cause of action arose (or, if multiple cause of actions are involved, from the date that the first cause of action arose), with such arbitration conducted pursuant to the then prevailing rules of the American Arbitration Association. To the fullest extent permitted by law, no arbitration brought pursuant to these Official Rules shall be joined to any other arbitration initiated pursuant to these Official Rules.
